Wholesale Terms & Conditions

These Wholesale Terms and Conditions ("Terms") govern all wholesale purchases and accounts with Limra Jewelry ("Limra", "we", "us"). By placing a wholesale order or applying for a wholesale account, you ("Buyer", "Wholesale Partner") agree to be bound by these Terms.

1. Wholesale Account Eligibility

Wholesale pricing and terms are available exclusively to:

• Registered businesses operating as jewellery retailers, boutiques, or resellers.
• Buyers who have completed a Wholesale Inquiry and received written approval from Limra Jewelry.
• Buyers operating in Canada or approved international markets on a case-by-case basis.

Limra Jewelry reserves the right to accept or decline any wholesale application at its sole discretion.

2. Minimum Order Requirement

The minimum wholesale order is 150 grams (net gold weight) per order. Orders below this threshold will not be accepted at wholesale pricing and must be placed at standard retail rates.

3. Pricing

Wholesale pricing is based on:

• The daily gold spot price (XAU/CAD or XAU/USD as agreed) at the time of order confirmation.
• A craftsmanship fee per gram, varying by product type, complexity, and karat.
• Any applicable gemstone costs for pieces containing diamonds or coloured stones.

Prices are confirmed in writing at the time of order. Limra Jewelry reserves the right to adjust pricing if market conditions change materially before production commences.

4. Payment Terms

• A 50% deposit is required upon order confirmation for all wholesale orders.
• The remaining 50% balance is due upon completion and prior to release of goods.
• Accepted payment methods: bank transfer (EFT/wire), cash, or other methods agreed in writing.
• Goods will not be released until full payment is received.

5. Delivery and Pickup

• Standard wholesale orders are available for in-store pickup at 2449 Yonge Street, Floor 2, Toronto, ON M4P 2E7.
• Shipping may be arranged at the Buyer's expense and risk. Limra Jewelry is not liable for loss or damage during shipping once goods have been released to the carrier.
• Estimated lead times: 5–7 business days for standard orders; 2–4 weeks for custom wholesale runs. Timelines are estimates and not guarantees.

6. Quality and Hallmarking

All Limra wholesale gold jewellery is:

• Manufactured in 10K to 22K gold as specified, with karat markings as required by Canadian precious metals regulations.
• Accompanied by a Limra certificate of authenticity indicating karat and approximate weight.

7. Returns and Defects

Wholesale orders are final sale and are not eligible for return or exchange except in cases of:

• Verified manufacturing defects reported within 7 calendar days of receipt.
• Goods that materially deviate from the confirmed order specifications.

Claims must be submitted in writing with photographic evidence within the 7-day window. Accepted defect claims will be resolved by replacement or store credit at Limra's discretion.

8. Confidentiality

Wholesale pricing, terms, and account information are confidential and may not be disclosed to third parties without prior written consent from Limra Jewelry.

9. Intellectual Property

Custom designs created by Limra Jewelry for wholesale clients remain the intellectual property of Limra Jewelry unless a written agreement transfers ownership of the design to the Buyer.

10. Limitation of Liability

Limra Jewelry's total liability to any wholesale Buyer shall not exceed the amount paid for the order in question. We are not liable for indirect, consequential, or loss-of-profit damages.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ontario.

12. Amendment

Limra Jewelry may update these Wholesale Terms at any time. Continued placement of wholesale orders after notification of changes constitutes acceptance of the updated Terms.
